ALT5 Sigma Corporation has announced a $1.5 billion capital raise to establish the first corporate treasury based on World Liberty Financial (WLFI) tokens, a crypto venture backed by the Trump family.
The plan involves issuing 200 million shares at $7.50 each, split evenly between a 100 million-share direct offering and a 100 million-share private placement, raising $750 million from each.
WLFI Token-for-Stock Swap
According to a Form 8-K filed with the SEC, ALT5 Sigma will receive $750 million worth of WLFI tokens in exchange for one million shares and 99 million pre-funded warrants exercisable at $0.01. These shares cannot be issued until the company raises its authorized share limit.
The other $750 million will be raised in cash and used to grow ALT5 Sigma’s WLFI corporate reserve.

ALT5 Sigma’s stock dropped 9.8% following the announcement, though it has risen over 19% in the past five days.
The move highlights a broader shift in corporate treasuries from a Bitcoin-dominated model toward diversification into assets like Ethereum, Solana, and Toncoin. 8월 12일(현지시간) ALT5 시그마는 보통주 2억 주를 주당 7.50달러에 발행하는 직접 주식 발행(100백만 주)과 사모 발행(100백만 주)을 병행한다고 발표했다. 각 발행 규모는 7억 5,000만 달러씩이며, 총 조달액은 15억 달러에 달한다.
WLFI 토큰-주식 맞교환 구조
미국 증권거래위원회(SEC)에 제출된 8-K 보고서에 따르면, ALT5 시그마는 WLFI로부터 7억 5,000만 달러 상당의 WLFI 토큰을 받고, 이에 상응하는 100만 주와 주당 0.01달러의 행사 가격을 가진 9,900만 개의 프리펀디드 워런트를 발행한다. 단, 회사는 발행 한도 증액이 완료되기 전까지 해당 주식을 발행할 수 없다.
