This update, released by the SEC’s Division of Corporation Finance, is meant to help companies understand how to follow the rules when offering or managing digital assets that could be considered securities.

The guidance covers what information needs to be shared in official filings like business overviews, possible risks, details about the digital assets, who is running the company, financial data, and how smart contracts are used. The goal is to make it clearer how current rules apply to both ownership and borrowing-type crypto assets.
