Zijin Mining said its Zijin Gold International will terminate its planned acquisition of Allied Gold and instead subscribe to 12.8 million newly issued common shares, equivalent to 9.2% of Allied Gold's enlarged share capital. According to Jin10, Zijin Gold International and Allied Gold had previously signed an arrangement agreement on January 26, 2026, under which Zijin Gold International would buy all issued common shares of Allied Gold for C$44 per share in cash, with total consideration of about C$5.5 billion, or about $4 billion.
Both sides said the closing conditions for the deal remained difficult to fully satisfy or waive before the extended deadline of July 29, 2026, and within a reasonable period afterward. They agreed to end the acquisition without either side paying a termination fee or any other fee.
Under a separate share subscription agreement, Zijin Gold International plans to buy the newly issued shares at C$32.55 per share in cash, for a total of C$416.6 million, or about $295 million.
