SEC Filing: CBOE Seeks Approval to List Canary PENGU ETF Backed by Memecoin and NFTs

CBOE BZX Exchange has filed a proposed rule change with the U.S. Securities and Exchange Commission (SEC) to list and trade shares of the Canary PENGU ETF under Rule 14.11(e)(4) for Commodity-Based Trust Shares. The ETF, sponsored by Canary Capital Group LLC, was internally approved by CBOE on June 10, 2025, and is now under SEC review.

The Canary PENGU ETF is notable for its unique structure: it aims to hold between 80% and 95% of its assets in PENGU, a Solana-based memecoin, and between 5% and 15% in Pudgy Penguin NFTs, a popular Ethereum-based NFT collection. The trust will also maintain small amounts of SOL and ETH to facilitate network transaction fees and NFT purchases. At least 95% of the ETF’s assets will be invested in PENGU and Pudgy Penguin NFTs under normal circumstances
