However, programmatic sales (e.g., to retail investors via exchanges) were not securities, as buyers did not reasonably expect profits from Ripple’s efforts. This was a significant win for Ripple and the crypto industry, clarifying that XRP itself is not a security in secondary market transactions. August 2024 Penalty: Judge Torres ordered Ripple to pay a $125 million civil penalty for the institutional sales violations, far less than the SEC’s requested $2 billion. The court rejected the SEC’s demand for disgorgement and prejudgment interest due to insufficient evidence of investor harm and issued an injunction barring Ripple from future securities law violations. March 2025 Resolution: Ripple CEO Brad Garlinghouse announced that the SEC dropped its appeal of the July 2023 ruling, effectively ending the lawsuit. Ripple agreed to pay dollar 50 million of the $125 million fine, with the remaining $75 million returned.
