Introduction
1. These terms and conditions apply to your use of and access to the Spot Testnet and Futures Testnet platforms (each, a “TestNet”) provided by Binance (these ”TestNet Terms of Use”).
2. These TestNet Terms of Use are supplemental to, form part of and are subject to the Binance terms of use (as updated and amended from time to time, the “Binance Terms of Use”). Capitalised terms used in these TestNet Terms of Use but not defined shall have the same meaning as in the Binance Terms of Use. The Testnet constitutes Binance Services and these TestNet Terms of Use constitute Product Terms.
3. If you access or use (or attempt to access or use) a Testnet, you will be deemed to have agreed to these TestNet Terms of Use and the Binance Terms of Use. Binance may amend these TestNet Terms of Use in its sole and absolute discretion at any time, with or without further notice to you.
4. In the event of any conflict or inconsistency between these TestNet Terms of Use and the Binance Terms of Use, these TestNet Terms of Use shall prevail with respect to the services contemplated hereunder, unless expressly stated otherwise.
Access to TestNet and Termination
5. There are no fees to access and use any TestNet. However, Binance reserves the right to implement fees at a future date, in its sole and absolute discretion.
6. To access and use a Testnet, you must create a TestNet account for that particular TestNet. A TestNet Account is separate and distinct from any accounts on the Platform and any other TestNet account.
7. We may refuse to open a TestNet account for you at our sole and absolute discretion and do not have to provide reasons for doing so. We reserve the right to adjust the eligibility requirements of each TestNet product from time to time. There is no assurance that you will continue to meet any eligibility requirements that may apply. If you are ineligible to use a TestNet, you must not access nor use that TestNet in any way.
8. We may suspend or terminate your access to, and/or use of, any TestNet or any TestNet account at any time and for any reason (with or without prior notice).
9. We may suspend or terminate the operation of any TestNet or any related services at any time for any reason. We may also wipe, delete or reset a TestNet or launch a new TestNet at any time as we deem appropriate, without any obligation to provide notice to you. Any rights accrued prior to the date of termination or the coming into, or continuance in, force of any provision which is expressly or by implication intended to come into or continue to be in force on or after termination.
10. By accessing a TestNet, you represent and warrant that accessing and/or using the TestNet Services is not unlawful or prohibited under the laws of your jurisdiction nor under the laws of any other jurisdiction to which you may be subject.
11. We may make any improvement, modifications or updates to the TestNets, including but not limited to changes and updates to the underlying software, infrastructure, security protocols, technical configurations or service features (the “Updates”) from time to time. We may also remove functionality from time to time. Your continued access and use of a TestNet are subject to such Updates and any patches, system upgrades, bug fixes, feature modifications, feature removals or other maintenance work that arise out of or in connection with any Updates. We are not liable for any failure by you to use any Updates in the manner specified or required by us.
Nature of TestNet and TestNet Tokens
12. The TestNets are simulated trading environments provided for informational and testing purposes only.
13. Your use of a TestNet involves the use of mock digital protocol tokens on such TestNet (collectively, “TestNet Tokens”). TestNet tokens are purpose-built for use exclusively within the sandbox environment of each TestNet.
14. TestNet Tokens:
a. are made available by us for testing purposes only;
b. are for use only on the TestNet;
c. shall not be used for any purposes other than to access and use a TestNet as TestNet system resources in accordance with the software protocols of that TestNet;
d. are temporary in nature and can only be used for a limited period of time that is stipulated by us;
e. have no economic value or monetary value and shall not be exchanged for cash, cash equivalent, or other tokens or cryptocurrencies or traded, offered for rent, lease, sale, or trade in any manner, directly or indirectly, nor attempt to do any of the foregoing; and
f. may from time to time have their feature, functionality, or usability voided, upgraded, added to, modified, or removed in our absolute discretion.
15. You agree and acknowledge, and confirm your understanding, that:
a. TestNets are completely separate from the Binance mainnet, and therefore:
i. hosts data that may differ from live Platform data;
ii. even if a TestNet references the same market data and indices as the Platform, there may nevertheless be discrepancies between the data on TestNet and the Platform (including, without limitation, latency between the TestNet and the Platform);
iii. TestNet stands independently from the Binance mainnet, meaning any transactions or changes implemented during testing do not impact or alter the Platform nor any live blockchain-based trading network, and the functions supported on the TestNet may be different to functions that are implemented on the Platform;
iv. The fact that a product or feature is available or accessible on the TestNet does not mean that the real product will be available on the Binance mainnet; and
v. past performance and experience on the TestNet is not a reliable indicator of future performance, returns, or experience with the Platform (nor any other trading venue).
b. we may at our sole and absolute discretion:
i. cancel any open order requests; or
ii. close, reverse, offset, liquidate, mitigate, deleverage or settle any open positions or trades on the TestNet at any time and for any reason at our sole discretion,
in each case, with or without prior notice;
c. each TestNet is not exclusive to developers, and are open to engage the wider community, welcoming interactions from all users;
d. we do not act as your agent or fiduciary, and that we do not control or take custody of your TestNet Tokens nor other funds in any manner; and
e. the TestNet may not be fit for any particular purpose, nor be suitable for you and/or your intended use, and shall not be construed as an inducement to trade on the Binance mainnet in any way.
TestNet Code of Conduct
16. You agree to use a TestNet at all times:
a. in a respectful and collaborative manner;
b. only for testing and engineering purposes; and
c. in accordance with these TestNet Terms of Use and all Applicable Laws.
17. You agree and confirm your understanding that you are prohibited from using the TestNet:
a. for live deployment or creation of applications, tokens, or transactions as though it were a production or similar environment;
b. for conducting or accepting token transfer transactions for value;
c. for commercial purposes;
d. to develop or test any code, software, or other systems and applications that are related to or implicated in any illegal, abusive, offensive, or inappropriate activity or organisation;
e. as a basis for any trading activity or the provision of advice or any professional services to any third party;
f. to rent, lease, loan, trade, sell, re-sell, or otherwise monetize any digital assets or TestNet Tokens in any manner;
g. to create any non-temporary token, or conduct or promote any token sale or initial coin offering for value or other similar conduct; or
h. upload, submit, or transmit any content that is illegal, infringing, harmful, offensive, or inappropriate;
i. in a manner such that members cannot collaborate or exchange ideas;
j. use any TestNet or any Services in any illegal activity or in the furtherance of any illegal activity;
k. engage in any behaviour that is disrespectful to other members of the Binance TestNet community, including:
i. angry aggressive comments towards individuals or other community members;
ii. comments regarding political views, religion, ethnicity, sexual orientation or gender;
iii. harassing other individuals or projects (trolling);
iv. distributing false information about Binance or a TestNet; and
v. making disparaging public remarks about Binance or a TestNet.
l. to exploit, attack, or attempt to exploit or attack, a TestNet; or
m. to attempt to do any of the foregoing or any of the other prohibited uses or activities as described in the Binance Terms of Use.
18. Any action or attempts that violate the above rules may result in termination or suspension of your access to the TestNets.
Disclaimer of Warranties and Limitation of Liability; Consents
19. The TestNets are provided on an “as is” and “as available” basis, and we make no warranty or representation, express or implied, regarding any TestNet, including, without limitation, that the Testnet:
a. will accurately or completely simulate, duplicate or replicate the trading conditions on or behaviours of the Platform; nor
b. is fit for any particular purpose or function (including, without limitation, for education purposes or as a guide or advice on how to use the Platform or any functionality of the Platform).
20. By using a TestNet, you acknowledge and agree that use of a TestNet is entirely at your own risk and, to the fullest extent permitted by law, we shall not be liable for any losses, damages, liabilities, cost, claim, or expense arising from your access or use of a TestNet (including, without limitation, using or duplicating TestNet trading methods or strategies when using the Platform or any of our other services).
21. Neither Binance, nor any affiliate or representative of Binance, makes any representation or warranty that any TestNet is (i) appropriate for any user or in any particular location, nor (ii) that the TestNet (or will continue to be) available or appropriate for any user or in any particular location. You are strongly encouraged to carefully review these TestNet Terms of Use and seek independent professional advice as to whether a TestNet is appropriate for you.
22. By accepting these TestNet Terms of Use, you hereby unconditionally and irrevocably; (i) confirm that you understand, accept and assume full responsibility for participating in any TestNet together with any and all associated risks with your access and/or use of any TestNet, including without limitation the risks described in sub-clause (a), and (ii) have carefully assessed whether, and determined that, the TestNet is appropriate for your intended use.
Data Usage and Monitoring
23. By accessing and using a TestNet, you confirm that you understand and accept that we may (or a third party may on our behalf) monitor and analyse your activities, and use, extract, copy and disseminate any of your data and materials (whether now or in the future) to help us conduct research, analytics, tests and future developments in relation to the TestNets and our other services and any other applications, systems, network, database, services or products and create future commercial services and products. You waive any claims of any nature whatsoever in relation to the foregoing, including claims to dispute our ability to monitor and analyse your activities and use, extract, copy and disseminate your data and materials or to transfer your data and materials to a third party for such purpose.
24. You hereby grant us a non-exclusive, royalty-free, worldwide, irrevocable, sub-licensable, and transferable licence to use and display any content, data, information, or materials (excluding any personal information) that you upload or submit to us using a TestNet or otherwise.
Indemnity
25. To the fullest extent permitted by Applicable Law, you irrevocably agree and undertake that you will indemnify, defend and hold harmless Binance from and against any claims arising out of, in connection with or related to: (i) your access to or use of the TestNet; (ii) your violation of these TestNet Terms of Use; (iii) your violation, misappropriation or infringement of any rights of another (including intellectual property rights or privacy rights); and (iv) your conduct in connection with your participation in the TestNet.
26. You agree and undertake to promptly notify Binance of any third-party claims, cooperate with Binance in defending such claims and pay all fees, costs and expenses associated with defending such claims (including legal fees and expenses). You also agree that the Binance will have control of the defence or settlement, at Binance’s sole option, of any third-party claims.
Disputes, Governing Law, Jurisdiction and Arbitration
27. The clauses relating to Complaints, Notice of claim, Agreement to arbitrate; Governing law; and Class action waiver of the Binance Terms of Use shall apply to any disputes or claims relating to, arising out of or in connection with these TestNet Terms of Use, including your assent to these TestNet Terms of Use.
English Language Version Prevails
28. Where any discrepancy arises between the translated versions of these TestNet Terms of Use and the original English version of these TestNet Terms of Use, the English version shall prevail.
