These Binance AI terms of service (these "AI Terms") shall apply to all instances of the AI Assistant (defined below) available on the Platform.
All capitalised terms and references used in these AI Terms that are not defined herein shall have the meaning given to them in the Binance Terms of Use (as amended or supplemented from time-to-time, the "Terms of Use").
These AI Terms are supplemental to, form part of and are subject to the Terms of Use and Privacy Notice. Accordingly, the provisions set out in the Terms of Use shall continue to apply. These AI Terms constitute Product Terms. References in the Terms of Use to Binance Services shall be deemed to include references to the AI Assistant. The use of Supported Enhanced Functions through the AI Assistant is governed by the Terms of Use, these AI Terms and the Referenced Product Terms. In the event of any conflict or inconsistency between these AI Terms and the Terms of Use or any Referenced Product Terms (defined below), these AI Terms shall prevail unless expressly stated otherwise.
If you are in a jurisdiction where Local Terms apply to your use of the Binance Services, such Local Terms shall continue to govern your use of the Binance Services, as supplemented by these AI Terms.
This version of these AI Terms shall replace and supersede any previous agreements between us with respect to the AI Assistant and any previous versions of these AI Terms that may have been accepted through, or otherwise made available on, the Platform.
You should read these AI Terms carefully before using the AI Assistant. By accessing or using the AI Assistant through the Platform, you confirm your acceptance of these AI Terms, the Terms of Use and each Referenced Product Terms. If you do not agree with any of these AI Terms, you should stop using the AI Assistant immediately.
You hereby unconditionally and irrevocably confirm that you: (i) understand, accept and assume full responsibility for your use of the AI Assistant together with any and all associated risks any transaction entered into or instruction given via the AI Assistant including, without limitation, the risks described in Annex B (Risk Warnings) below, and (ii) have carefully assessed whether, and determined that, the use of the AI Assistant is appropriate for you.
You cannot access the AI Assistant if you are under the age of 18 (or such greater age required in your country or territory) or if you are prohibited from receiving our services under applicable laws.
1. Definitions and Interpretation
“AI” means artificial intelligence, which is based on computer systems using algorithms to learn, reason and improve its functionality whilst performing various tasks.
"AI Assistant" means the Binance AI-assisted Chat Service constituting a Binance Service provided under the Platform together with any ancillary, incidental or related services contemplated under these AI Terms.
“AI Instructions” means AI-assisted protocols initiated by a user to achieve a desired outcome.
“AI Search” has the meaning given to that term in clause 2.3.
“AI Tools” means AI Assistant and any other Binance products or services that allow for AI Searches and or AI Instructions.
"Applicable Law" has the meaning given to that term in the Terms of Use.
“Binance IP” has the meaning given to that term in the Terms of Use.
“Binance Services” has the meaning given to that term in the Terms of Use.
“Chat Service” has the meaning given to that term in the Terms of Use.
“Created IP” has the meaning given to that term in the Terms of Use.
“Platform” has the meaning given to that term in the Terms of Use.
"Referenced Product Terms" means, in relation to a Supported Enhanced Function at any time, the latest Product Terms then applicable to that Supported Enhanced Function, as supplemented in each case pursuant to Annex C (Supported Enhanced Functions Supplemental Terms).
"Supported Enhanced Function" means each function specified in Annex A (Supported Enhanced Functions), as may be amended or supplemented from time to time.
"Terms of Use" has the meaning given to it in the preamble to these AI Terms.
“User IP” has the meaning given to that term in the Terms of Use.
The rules of interpretation set out in the Terms of Use shall apply to these AI Terms, except that references to clauses are to clauses in these AI Terms, unless otherwise stated.
2. Purpose and Limitations
2.1 The AI Assistant is an automated informational tool designed to provide general responses and insights based on user inputs. It does not constitute financial, legal, nor investment advice (personalised or otherwise). Binance does not guarantee the accuracy, reliability, or completeness of any information provided by the AI Assistant and Binance makes no representations, warranties or guarantees (whether express or implied) that the information is accurate, complete or up to date. As the user, you are solely responsible for verifying the information and should not rely on it for decision-taking purposes.
2.2 The AI Assistant can also be used to interact with certain Binance Services, including certain Supported Enhanced Functions.
2.3 The AI assistant may also provide AI-assisted search functionality (“AI Search”) that allows users to retrieve and display publicly available information from the Binance website. AI Search is intended to facilitate access to Binance-related information by generating relevant results based on user queries. AI Search does not access user-specific, private or confidential account information. Binance does not guarantee the accuracy, completeness nor timeliness of AI Search results. Users should always refer to, review and assess the original source material.
2.4 Any information provided by the AI Assistant (including, without limitation, any AI Search Results) is not a substitute for professional advice by a suitably qualified financial adviser or other professional. Binance does not provide advice, including financial or investment advice and neither Binance, nor any affiliate or representative of Binance, makes any representation, warranty or guarantee that (i) the AI Assistant or any output provided by it is appropriate for any user or in any location, or (ii) that the services described in these AI Terms (including, without limitation, any Supported Enhanced Function) are, or will continue to be, available or appropriate for any user or in any location. You should always consult an appropriate adviser before transacting on the Platform or taking, or refraining from, any action on the basis of the information provided by the AI Assistant.
Any analysis provided by the AI Assistant is NOT INVESTMENT ADVICE and should not be construed as investment advice, nor any other form of advice. The analysis provided by the AI Assistant should not be the sole form of analysis you perform before making investment decisions. The AI Assistant depends on a range of data sources, which may not be accurate and is not guaranteed to be accurate, thus, before making any investment decisions, please perform your own due diligence utilising multiple sources of information. Binance does not act as a fiduciary for, nor adviser to, you, and any analysis or information is provided on an as-is basis and is not guaranteed to be accurate, and you should never make investment or trading decisions without conducting your own careful due diligence and obtaining, where appropriate, professional advice.
2.5 If you enter into any transaction using the AI Assistant, separate terms and conditions will also apply as set out below (including, without limitation, the relevant Referenced Product Terms).
3. User Responsibilities
3.1 When information is shared with the AI Assistant, it may be collected, processed and stored by Binance to improve the AI Assistant's functionality, user experience and for other similar purposes including to provide more personalized outputs. All data collected and processed is handled in accordance with Binance's Privacy Notice. Do not share information that you don’t want Binance to use and retain such as account identifiers, passwords, financial information, or other sensitive data.
We do not want you to share any sensitive data through the AI Assistant. Sensitive data includes a number of types of data relating to race or ethnic origin, political opinions, religious or other similar beliefs, trade union membership: physical or mental health, criminal record. You acknowledge not to provide any sensitive, personal or irrelevant data while interacting with an AI Assistant of this nature.
Binance may share certain information about you that is processed when using the AI Assistant with third parties who help us provide you with more useful responses. The information we share with third parties may contain personal information if the query you have made to the AI Assistant contains personal information about any person. By using the AI Assistant, you are instructing us to share your information with third parties when it may provide you with more relevant or useful responses. Those third parties will use any information we share, which may include personal information about you or others, in accordance with those third parties’ privacy policies.
3.2 As a condition of your use of the AI Assistant, you agree not to: (i) misuse or attack our AI Assistant by introducing viruses, trojans, worms, logic bombs or any other material which is malicious or technologically harmful (such as by way of a denial-of-service attack), or (ii) attempt to gain unauthorised access to our AI Assistant, the server on which our AI Assistant is stored or any server, computer or database connected to our AI Assistant, or (iii) deliberately attempt to prompt the AI Assistant into generating responses which may be offensive, unlawful or cause harm or reputational damage to Binance, or (iv) modify, reverse engineer, decompile or disassemble the AI Assistant, or any part of it, or (v) modify any product markings or rights notices included in the AI Assistant. You also agree to only use the AI Assistant for lawful purposes and not for fraudulent, malicious or harmful activities or use the AI Assistant otherwise in violation of any laws.
3.3 Binance will use reasonable efforts to identify and remove any content that is inappropriate, defamatory or infringes intellectual property rights when we are notified, but Binance cannot be responsible if you have failed to provide it with relevant information. If you believe that any content which is distributed or published by the AI Assistant is inappropriate, defamatory or infringing any intellectual property rights, you should contact Binance Customer Support immediately via our Customer Support team at https://www.binance.com/en/chat.
3.4 You acknowledge and agree that while the AI Assistant can assist in relation to Supported Enhanced Functions, the use of all such functions (including but not limited to any transactions, decisions, instructions and confirmations) are your sole responsibility.
3.5 You must not represent or mislead another person that output by the AI Assistant was human-generated when it was not.
3.6 Binance may review your interactions with the AI Assistant, including the content of your conversations with or messages shared with the AI Assistant, and this review may be automated or manual (i.e. by an employee of Binance).
3.7 Depending on where you reside, you may request access to your personal information from Binance in a portable format, deletion or correction of your personal information, subject to certain exceptions. To learn more about how you can access and delete your personal information associated with the AI Assistant, and to exercise any applicable rights, visit our Privacy Notice. Depending on how you use the AI Assistant, deleting individual messages may not delete our copy of your personal information, and the Privacy Notice describes the correct way to delete your personal information.
4. Intellectual Property
4.1 Licence of Binance IP: Binance IP is licensed to you on the terms set out in the Terms of Use.
4.2 Licence of User IP: User IP is licensed to us on the terms set out in the Terms of Use. You hereby grant to us a perpetual, irrevocable, royalty-free worldwide, non-exclusive and sub-licensable licence to use, reproduce, modify User IP and any derivative works based on User IP, User Materials and any other user inputs to the AI Assistant to improve any of our products, including but not limited to the training or fine-tuning of the AI Assistant and any other AI products or models and any Binance Services.
4.3 Ownership of Outputs: All Intellectual Property Rights in the outputs generated by the AI Assistant shall constitute Created IP.
4.4 While Binance tries to make sure that the AI Assistant is secure, Binance does not actively monitor or check whether information supplied to it through the AI Assistant is confidential, commercially sensitive or valuable. Other than any personal information which will be dealt with in accordance with Binance's Privacy Notice, Binance does not guarantee, and is under no obligation to ensure, that information supplied to it through the AI Assistant will be kept confidential and Binance may use such information on an unrestricted and free-of-charge basis as it reasonably sees fit.
5. Risk Acknowledgment
You acknowledge and agree that you have read and understood the risk warnings set out at Annex B (Risk Warnings) to these AI Terms.
6. Modification and Termination
Binance may amend these AI Terms from time to time in accordance with the Terms of Use. Every time you wish to use the AI Assistant, please check these terms to ensure you understand the terms that apply at that time.
7. Misuse of AI Assistant
If we determine that you have breached these AI Terms or other applicable terms and policies, we may suspend or permanently disable your access to the AI Assistant or other Binance services or features, and we may permanently disable or delete your account including where we are required to do so for legal reasons.
8. Disclaimer
Binance AI Tools, and its outputs, are provided to you on an “as is” and “as available” basis, without representation or warranty of any kind. Your use of Binance AI Tools is at your own risk. Binance does not endorse or guarantee any AI-generated information. Any AI-generated information should not be solely relied on for decision making. AI generated content may include or reflect information, views and opinions of third parties, and may also include errors, biases or outdated information. Not advice nor any other intermediary service. Binance AI Tools may respond to your requests, but without any guarantee that your request will be fulfilled satisfactorily or at all. Digital asset prices can be volatile. You are solely responsible for your investment decisions and Binance is not liable for any losses you may incur. Annex A - Supported Enhanced Functions
The availability of these functions may vary from jurisdiction-to-jurisdiction and may not be applicable to you if the Binance Service is not available or otherwise restricted in your jurisdiction. These Supported Enhanced Functions are subject to change.
Annex B - Risk Warnings
1 Accuracy Risks: The AI Assistant relies on algorithms and data models that may produce incomplete, outdated or inaccurate information. Binance does not guarantee the correctness nor reliability of outputs. Artificial intelligence and machine learning are rapidly evolving fields of study. Given the probabilistic nature of machine learning, use of the AI Assistant may, in some situations, result in output that does not accurately reflect real people, places, or facts. The AI Assistant is powered by third-party AI technology. Whilst efforts have been made to ensure responses are relevant and free from bias, in exceptional cases some responses generated may be unreliable or offensive to some users.
2 Volatility Risks: Due to the dynamic nature of digital assets and markets, information provided by the AI Assistant may not reflect current conditions or real-time data.
3 Technical Risks: The AI Assistant may experience interruptions, errors, delays, or malfunctions, resulting in incomplete or erroneous outputs.
4 Regulatory Risks: Access to or use of the AI Assistant may be restricted, modified or prohibited in certain jurisdictions based on Binance's interpretation of Applicable Law and regulations. The regulatory environment surrounding both digital assets and artificial intelligence applications/services (including the AI Assistant) is subject to change, and any adverse regulatory actions or new laws may impact the operation, performance, or offering of the AI Assistant or any of its Supported Enhanced Functions.
5 Product Suitability: Any products listed or described by the AI Assistant should not in any circumstances be considered advice and may not be exhaustive. If you are unsure, please consult your independent professional advisers for guidance. Binance does not provide financial or other advice.
5 Information Asymmetry: The AI Assistant may not provide equal levels of detail or analysis for all queries, and users should not rely solely on its responses for taking decisions.
6 No Guarantee of Outcome: Use of the AI Assistant does not ensure successful trades, investments or other financial outcomes. Users assume all risks associated with use of, and any reliance on, the AI Assistant.
7 Third Party Content: In the event that the AI Assistant provides any link to third-party materials or websites, you acknowledge and agree that such third-party materials/website are not under Binance's control and: (i) Binance is not responsible for any aspect of that third party material/website; and (ii) you access/consume such website/material strictly at your own risk. Any such links are provided merely as a convenience to you and do not indicate any endorsement or recommendation by Binance.
The above description of risks is not exhaustive, and merely serves as a summary overview of some (but not all) of the risks that may result from accessing or using the AI Assistant.
Annex C – Supported Enhanced Functions Supplemental Terms
Definitions
"Convert Transaction" means a Conversion in accordance with, and subject, to the Convert Terms.
"P2P Transaction" means a direct trade of Digital Assets between users in accordance with, and subject, to the P2P Terms.
"Transfer Services" means the services described in clause C (Transfer Services) below.
A. Facilitation of Convert Transactions
A.1 The AI Assistant may assist you in accessing Binance's Convert feature to exchange Digital Assets, using Convert Transactions. All Convert Transactions are governed by, and subject to, the Convert Terms.
A.2 Only Convert Instant Orders (as such term is defined in the Convert Terms) are supported. Convert Quotes can be requested via the AI Assistant, which will constitute a Convert Instant Order for the purposes of the Convert Terms. Binance may respond to a Convert Instant order by providing a Convert Quote (as defined in the Convert Terms) via the AI Assistant. You will then be able to confirm or reject the terms of the Convert Quote. If you confirm the Convert Quote via the AI Assistant, this will constitute the submission of a Trade Request (as defined in the Convert Terms). A Trade Request is irrevocable once submitted. Your submission of a Trade Request authorises Binance to lock the requisite amount of your Digital Assets or fiat currency that is to be converted until such time that the Conversion Transaction is fully settled or the Trade Request is cancelled or rejected, in accordance with the Convert Terms. Binance may either accept or reject the Trade Request at its sole and absolute discretion. If a Trade Request in respect of a Convert Instant Order is accepted by Binance, then that Conversion Transaction shall be settled in accordance with clause 5 (Settlement of Conversions) of the Convert Terms.
A.3 You acknowledge that the AI Assistant does not provide real-time market analysis or personalised advice on the suitability of any Convert Transaction.
A.4 You are responsible for reviewing and verifying in full all transaction details in a Convert Quote before confirming a Trade Request.
A.5 Please refer to the Convert Terms for more information on the terms that apply to Convert Transactions (including, without limitation, the disclosures and confirmations in clause 8 (Disclosures and Confirmations) therein).
B. Facilitation of P2P Express Zone Transactions
B.1 The AI Assistant may assist you in accessing Binance's P2P Express Zone features, such as matching directly with verified merchants or suggesting transaction options.
B.2 Binance does not guarantee the accuracy, reliability or success of P2P transactions initiated or facilitated through the AI Assistant.
B.3 You acknowledge that you are solely responsible for verifying counterparty details, payment methods and details, transaction terms, and adherence to local laws and regulations when engaging in P2P transactions through the AI Assistant.
B.4 You are responsible for reviewing and verifying all transaction details before confirming a P2P transaction.
B.5 Transactions facilitated through the AI Assistant are subject to counterparty risk, including delays, disputes or non-performance by the counterparty. Binance is not a party to, or liable for losses, damages or disputes arising from P2P transactions initiated or assisted by the AI Assistant. Please refer to the P2P Terms of Use for more information on the terms that apply to P2P Transactions (including, without limitation, the disclosures in clause 27 and 28 (Risk Disclosure therein)
C. Transfer Services
C.1 The use of the AI Assistant to access and manage balances held in your Binance Account (“Transfer Services”) shall be subject at all times to the relevant provisions of the General Terms and these AI Terms.
C.2 The AI Assistant may assist you in accessing information regarding your Binance Wallet balances, including Digital Asset holdings.
C.3 The AI Assistant may assist you in instructing transfers between your Binance Wallets. You understand and agree that any transfer through the AI Assistant is subject to holding the corresponding balances on the relevant Binance Account you are using, such as the Spot Wallet or your Funding Wallet. Binance shall not be held liable for the failure of any transfer following an instruction given to the AI Assistant to transfer Digital Assets.
C.4 The AI Assistant may assist you in accessing other Transfer Services provided in accordance with these Terms.
C.5 You are responsible for reviewing and verifying all transaction details before confirming any transfer.
